One of the country’s largest casino operators has scheduled a shareholder vote for next month on a multibillion-dollar acquisition that would take the company private.
Caesars Entertainment Inc. shareholders will vote Sept. 22 on billionaire Tilman Fertitta’s $17.6 billion takeover of the gaming giant, according to a definitive proxy statement filed Tuesday with the U.S. Securities and Exchange Commission.
Reno-based Caesars scheduled the special shareholder meeting for 9 a.m. at the Eldorado Resort & Casino in Reno. Shareholders of record as of Aug. 21 will vote on Fertitta’s $31-per-share, all-cash acquisition, which, if approved, would ultimately end its run as a publicly traded company.
Approval requires support from holders of a majority of Caesars’ roughly 203.8 million outstanding shares. The company’s board is recommending shareholders approve the transaction.
Recreational Enterprises Inc., controlled by members of the Carano family, has already agreed to vote its roughly 8.6 million shares, or about 4.2 percent of Caesars’ outstanding stock, in favor of the deal.
